Services such as ERP implementation, system customization, integrations, data migration, training, technical support, consulting, software development, and related work are subject to a separate written proposal, statement of work, master services agreement, license agreement, support agreement, or other applicable contract (each, a "Service Agreement").
No Site content, marketing material, email exchange, estimate, or inquiry response creates a binding obligation to provide services unless expressly set forth in a Service Agreement signed by authorized representatives of both parties.
7.2 Service Terms Control
If you enter into a Service Agreement with DC Tech Group, that agreement controls with respect to the applicable services. If these Terms conflict with a Service Agreement, the Service Agreement controls solely for the applicable services.
7.3 No Professional Advice
The Site's content is provided for general informational and educational purposes only. It is not accounting, tax, legal, financial, engineering, cybersecurity, or other professional advice, and should not be relied on as a substitute for advice from a qualified professional familiar with your circumstances.
Although our personnel may hold professional credentials, including CPA credentials, content on the Site does not establish a professional-client relationship, accounting engagement, audit engagement, or fiduciary relationship.
7.4 Results Not Guaranteed
Technology implementation outcomes depend on numerous factors, including your systems, data quality, third-party platforms, personnel, processes, project scope, and timely cooperation. We do not guarantee particular financial, operational, technical, compliance, or business results except as expressly stated in a signed Service Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles.
13.2 Informal Resolution
Before filing a legal claim, you agree to contact us at info@dctechgroupllc.com and provide a written description of the dispute. The parties will attempt in good faith to resolve the dispute informally for at least 30 days.
13.3 Venue and Jurisdiction
If a dispute is not resolved informally and litigation is permitted, you agree that exclusive jurisdiction and venue lie in the state or federal courts located in Clark County, Nevada, unless applicable law requires otherwise.
13.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND DC TECH GROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR PRIVATE ATTORNEY GENERAL IN ANY CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Nothing in this section prevents either party from seeking relief in small claims court where eligible or from pursuing claims that cannot legally be waived.

16.3 No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.
16.5 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet or telecommunications failures, third-party service failures, or cybersecurity incidents.
